North Star non-executive independent director services – FCA requires all authorised fund managers and authorised corporate directors to appoint non-executive independent directors to Boards by 30 September 2019

North Star Corporate Finance notes with interest the FCA policy statement (PS18/8) requiring all fund managers to authorised schemes to appoint at least two non-executive independent directors to their Boards (or more to achieve at least 25% of the total board membership) as soon as possible and no later than 30 September 2019.

PAIF Index 2017 Q4 | Property Authorised Investment Fund Index | North Star Corporate Finance | Expert Corporate Finance

North Star Corporate Finance is delighted to issue its quarterly PAIF Index publication, for the period of Q4 2017.  Over the period in Q4 2017 the absolute PAIF Index increased by +1.3%. The corresponding movement in the REIT benchmark over the period was +9.7%. The year-on-year change (Q4 2016 vs Q4 2017) of the benchmark REIT index changed +14.1% compared to +8.7% for the PAIF Index for the period (a relative outperformance of REITs by +5.4%). UK commercial property ended the year in a strong manner with December 2017 reflecting the highest monthly return for three years. According to a market study the total return for December was 1.4% with capital values increasing by 1.0% and rental growth proving to be solid. Similarly to Q3, industrials performed strongly due to performances from capital and rental values.

The NSCF PAIF Index provides an integral benchmark of relative performance of a basket of Property Authorised Investment Funds (“PAIFs”), representing a proxy for the performance of the authorised UK commercial property funds market. The PAIF Index is also assessed against a benchmark of a basket of UK REITs, useful in presenting the clear differentials in valuation approaches and volatility between the UK property open-ended funds market and UK property closed-ended listed market. Our publication includes market commentary and major issues impacting the valuations of the property portfolios and market events and drivers.

OPCI | Organisme de Placement Collectif Immobilier | Restructuring of French Real Estate Holding Structure and Implementation of an OPCI for a pan-European Real Estate Fund

North Star Corporate Finance has successfully completed the restructuring of the French real estate  holding structure for a pan-European Real Estate Fund, including the introduction of an OPCI within the group structure.

The restructuring, led by the team at North Star, involved layers of legal, tax and regulatory complexity, in particular noting the existing real estate which was required to be transitioned into a tax transparent structure and the overall holding structure was itself part of a wider open-ended investment company domiciled in Luxembourg. The implementation required substantial technical dexterity together with operational aspects with the appointment and directing of the local French portfolio management company and depositary. The OPCI was approved by the AMF, the local regulator.

The purpose of an OPCI (“Organisme de Placement Collectif Immobilier”) is to primarily invest in French real estate assets for rental activity or to build assets exclusively for lease, either directly or indirectly. The primary benefit being, assuming certain tests are met, the structure provides French tax transparency for the purpose of income and gains arising from the real estate.

Whilst a challenging transaction, we are delighted to have successfully delivered the project for our client to meet their commercial objectives.”

PAIF Index 2017 Q3 | Property Authorised Investment Fund Index | North Star Corporate Finance | Expert Corporate Finance

North Star Corporate Finance is delighted to issue its quarterly PAIF Index publication, for the period of Q3 2017.  Over the period in Q3 2017, the absolute PAIF Index increased by 1.4%. The corresponding movement in the REIT benchmark over the period was -1.4%. The year-on-year change (Q3 2016 vs Q3 2017) of the benchmark REIT index changed +6.0% compared to +8.4% for the PAIF Index for the period (a relative outperformance of +2.4%). Whilst the overall UK commercial property valuations in Q3 2017 continued the trend of recent quarters, the UK market is however witnessing divergence across sectors, with industrials notably outperforming other sectors, with returns driven by a combination of yield compression and good rental growth.

The NSCF PAIF Index provides an integral benchmark of relative performance of basket of Property Authorised Investment Funds (“PAIFs”), representing a proxy for the performance of the authorised UK commercial property funds market. The PAIF Index is also assessed against a benchmark of a basket of UK REITs, useful in presenting the clear differentials in valuation approaches and volatility between the UK property open-ended funds market and UK property closed-ended listed market. Our publication includes market commentary and major issues impacting the valuations of the property portfolios and market events and drivers.

Associate, Corporate Finance

This is an excellent and unique opportunity to join a niche, fledgling corporate finance consultancy house, specialising in offering services to the fund and wealth management industry. Duties & Responsibilities

Working alongside and reporting to the Managing Director, the role is an exciting opportunity for a motivated self-starter to work and gain experience primarily with clients across the UK and global fund and wealth management sector. Whilst this is a key sector focus, the firm provide services across many other sectors advising listed companies, mid to small cap PE backed businesses as well as owner managed/entrepreneurial focussed ventures in the UK and Europe.

Skills & Competencies

Ability to demonstrate a capability to deliver complex corporate finance projects across multi-sectors and corporate profiles. Skills include delivering projects in a co-ordinated manner including all aspects of commercial, financial, tax, legal, regulatory and administrative work packages.

Ideally the candidate will have at least 3 years relevant experience. The ideal candidate will be able to demonstrate all or some of the following:

  • Prior corporate finance transaction experience (across multi-sectors)
  • Strong financial analysis and accounting/tax skills
  • Experience of financial modelling
  • Fund and wealth management knowledge preferred but not essential
  • Experience of working within regulatory frameworks such as the FCA Handbook; AIM Rules; AIFMD; MiFID or similar
  • Outstanding written and verbal communication skills with the ability to disseminate complex matters into clear understandable output
  • Strong project management skills

The above are desirable criteria. Primarily we are seeking a hard working individual with the correct aptitude, specifically a desire to learn and to gain greater experience.

Remuneration

£40,000 – £50,000+ per annum depending on experience (plus pension and annual bonus linked to performance of both the individual and the firm)

PAIF conversion | Setting Up a PAIF (Property Authorised Investment Fund) | 100% SDLT Relief

The government appear set to introduce a 100% relief from SDLT for the initial transfer of properties into an authorised PAIF or CoACS.

The relief will have a significant impact on the industry, now opening up the possibility of efficiently transitioning any portfolio of UK property to seed a new fund (PAIF or ACS) without SDLT liability (excl Scotland, where the fiscal fissures continue). You can read more about this news here.
